Terms of Service

1. Acceptance of Terms

By accessing or using CodePhantom ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Description of Service

CodePhantom is an AI-powered coding assistant that helps developers analyze and solve coding problems. The Service uses artificial intelligence to analyze code screenshots and provide coding solutions, debugging assistance, and programming guidance.

The Service is provided on a subscription basis with a credit system. Users receive a monthly allocation of credits that can be used to analyze code problems.

3. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You will comply with all applicable laws and regulations
  • All information you provide is accurate and current

4. User Accounts

4.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for safeguarding the password and for all activities that occur under your account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions.

4.3 Account Sharing

You may not share your account credentials or allow any other person to access your account. Each account is intended for use by a single individual. Violation of this provision may result in immediate termination of your account without refund.

5. Subscription Terms

5.1 Subscription Plans

We offer the following subscription plans:

  • Monthly Subscription: Billed monthly with 50 credits per month
  • Annual Subscription: Billed annually with 50 credits per month (best value)
  • Trial Period: New users may receive 10 trial credits

5.2 Credit System

Credits are allocated monthly and reset at the beginning of each billing cycle. Each credit can be used for either solving or debugging a coding problem. Unused credits do not roll over to the next billing period unless otherwise specified.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. By subscribing, you authorize us to charge your payment method for the subscription fee on a recurring basis until you cancel your subscription.

5.4 Cancellation Policy

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service and your remaining credits until the end of the paid period. No refunds will be provided for the current billing period, but you will not be charged for subsequent periods.

5.5 Refund Policy

All sales are final. We do not provide refunds for:

  • Used credits
  • Partial billing periods
  • Subscription fees already paid

In exceptional circumstances, refunds may be considered on a case-by-case basis at our sole discretion. Contact support for assistance.

5.6 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will be communicated to you via email at least 30 days before they take effect. If you do not agree to the new pricing, you may cancel your subscription before the price change takes effect.

6. Payment Terms

6.1 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you agree to Stripe's terms of service and privacy policy. We do not store your full payment card details on our servers.

6.2 Billing Cycles

Billing cycles are based on your subscription plan (monthly or annual). Your billing cycle begins on the date you subscribe and renews automatically on the same date each period.

6.3 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail, your subscription may be suspended or cancelled. You are responsible for ensuring your payment method is valid and has sufficient funds.

6.4 Chargebacks

If you initiate a chargeback or dispute a payment, we reserve the right to immediately suspend or terminate your account. Chargebacks may result in additional fees and legal action to recover costs.

7. Acceptable Use Policy

7.1 Permitted Uses

You may use the Service for:

  • Analyzing and solving coding problems
  • Debugging code issues
  • Learning programming concepts
  • Personal and commercial development projects

7.2 Prohibited Uses

You agree not to use the Service:

  • For any illegal purpose or to violate any laws
  • To transmit any malicious code, viruses, or harmful software
  • To attempt to reverse engineer, decompile, or disassemble the Service
  • To interfere with or disrupt the Service or servers
  • To impersonate any person or entity
  • To collect or harvest information about other users
  • To spam, phish, or engage in any fraudulent activity
  • To violate any intellectual property rights
  • To abuse, harass, or harm others
  • To upload content that is offensive, discriminatory, or illegal

7.3 Code of Conduct

You agree to use the Service in a respectful and professional manner. Any violation of this code of conduct may result in immediate termination of your account.

8. Intellectual Property

8.1 Service Ownership

The Service and its original content, features, and functionality are owned by CodePhantom and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 User Content

You retain ownership of any code, images, or content you upload to the Service. By uploading content, you grant us a limited, non-exclusive, worldwide license to use, process, and transmit your content solely for the purpose of providing the Service.

8.3 License to Use Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or commercial use, subject to these Terms.

9. AI-Generated Content

Important Disclaimer: The Service uses artificial intelligence to generate coding solutions and suggestions. You acknowledge and agree that:

  • AI-generated solutions are suggestions and recommendations, not guaranteed correct answers
  • You are solely responsible for reviewing, testing, and validating any code or solutions provided by the Service
  • The Service does not guarantee the accuracy, completeness, or suitability of AI-generated content
  • You should not rely solely on AI-generated solutions without proper code review and testing
  • We are not liable for any errors, bugs, or issues resulting from the use of AI-generated code

The Service is a tool to assist your development process, not a replacement for proper software engineering practices, code review, and testing.

10. Limitation of Liability

10.1 Service Provided "As-Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Warranties

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free of viruses or other harmful components
  • AI-generated solutions are accurate or suitable for your needs

10.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CODEPHANTOM, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

10.4 Maximum Liability

Our total liability to you for all claims arising from or related to the use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

10.5 Indemnification

You agree to defend, indemnify, and hold harmless CodePhantom and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

11. Termination

11.1 Termination by You

You may terminate your account and subscription at any time by cancelling through your account settings or contacting support.

11.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

11.3 Effect of Termination

Upon termination:

  • Your access to the Service will be immediately revoked
  • All remaining credits will be forfeited
  • We may delete your account and associated data
  • Provisions that by their nature should survive termination will survive

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, United States.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12.4 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms constitute the entire agreement between you and CodePhantom regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter of these Terms.
